1. Introduction

These Terms and Conditions govern the access to and use of the Keyra platform. By accessing or using Keyra, users and agents agree to be bound by these Terms. If you do not agree with these Terms, you must not use the platform.

2. Nature of the Platform

Keyra is a technology platform that facilitates connections between users seeking rental properties and real estate agents.

Keyra:

  • Does not act as a real estate agency
  • Does not act as a broker or intermediary
  • Does not participate in negotiations or transactions
  • Does not manage properties
  • Does not handle contracts or payments
  • Does not guarantee the availability of properties or successful matches

All agreements are made directly between users and third parties. Keyra is not a party to any agreement between users and agents.

3. Use of the Platform

Users may submit rental requests through the platform. These requests are structured and shared with relevant real estate agents in order to facilitate rental opportunities.

Users agree to:

  • Provide accurate and truthful information
  • Use the platform only for lawful purposes
  • Not misuse the platform or attempt to manipulate the system

Keyra reserves the right to restrict or suspend access to the platform if misuse is detected.

4. Lead and Matching System

Keyra operates a structured system where user requests are shared with selected agents based on relevance and availability.

The platform may apply internal rules regarding:

  • Lead assignment
  • Agent priority
  • Time-limited priority periods
  • Opening requests to additional agents
  • Limits on the number of agents who can access a request

Keyra reserves the right to manage and modify the lead distribution system in order to maintain platform efficiency and fairness.

5. User Data and Privacy

By using the platform, users agree that their data may be shared with relevant real estate agents for the purpose of responding to their rental request.

Personal data is processed in accordance with the Privacy Policy and applicable data protection laws.

6. Acceptable Use

Users and agents agree not to:

  • Provide false or misleading information
  • Use the platform for unlawful purposes
  • Attempt to gain unauthorized access to the system
  • Interfere with the functioning of the platform
  • Misuse personal data obtained through the platform

7. Intellectual Property

All rights related to the Keyra platform, including its structure, functionality, matching logic, data organisation, design, and software, are the exclusive property of Keyra.

Users and agents agree not to copy, reproduce, reverse engineer, or replicate the platform or any part of it.

8. Limitation of Liability

To the maximum extent permitted by law, Keyra shall not be liable for:

  • Actions or omissions of users or agents
  • Agreements between users and agents
  • Accuracy of property information
  • Availability of properties
  • Any loss resulting from the use of the platform
  • Technical interruptions or platform downtime

Use of the platform is at the user?s own risk.

9. Suspension and Termination

Keyra may suspend or terminate access to the platform at any time if a user or agent breaches these Terms or misuses the platform.

10. Modifications

Keyra reserves the right to modify these Terms at any time. Updated Terms will be made available on the platform. Continued use of the platform constitutes acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Malta. Any disputes shall be subject to the jurisdiction of the Maltese courts.

Agent Terms and Conditions

1. Introduction

These Agent Terms & Conditions govern the access and use of the Keyra platform by real estate agents. By accessing or using Keyra, the Agent agrees to be bound by these Terms. If the Agent does not agree, they must not use the platform.

2. Nature of the Platform

Keyra is a technology platform that facilitates connections between users seeking rental properties and real estate agents.

Keyra:

  • Does not act as a real estate agency
  • Does not act as a broker or intermediary
  • Does not participate in negotiations or transactions
  • Does not guarantee the availability of properties or successful matches

Agents operate independently and are solely responsible for their activities.

3. Access to the Platform

Access to Keyra is granted at the sole discretion of Keyra.

Keyra may:

  • Approve or deny access to any agent
  • Limit access to certain features
  • Suspend or terminate access at any time

Agents must:

  • Use their own assigned credentials
  • Not share access with third parties
  • Maintain the confidentiality of their login details

4. Use of User Data

Agents may receive access to personal data submitted by users through the platform.

The Agent agrees that:

  • User data may only be used to respond to the specific rental request
  • User data must not be stored, copied, or added to external databases
  • User data must not be reused for future opportunities outside the platform
  • User data must not be shared with third parties
  • Agents act as independent data controllers and are responsible for complying with applicable data protection laws
  • Agents must not contact users for purposes unrelated to the original request, including unsolicited marketing

5. Communication with Users

Agents may contact users only in relation to their submitted rental request and must provide accurate and relevant information.

6. Prohibited Conduct

  • Misuse user data
  • Provide false or misleading information
  • Engage in spam or mass messaging
  • Attempt to exploit or manipulate the platform
  • Use the platform for unlawful purposes

7. Non-Circumvention

Agents agree not to bypass the platform or use user data obtained through Keyra outside the platform or to build independent lead databases.

8. Intellectual Property and Platform Protection

All rights related to the Keyra platform, including structure, functionality, matching logic, and data organisation are the exclusive property of Keyra.

9. Data Protection Responsibilities

Agents act as independent data controllers regarding any data they process and must comply with applicable data protection laws.

10. Limitation of Liability

Keyra shall not be liable for actions of Agents, agreements between Agents and users, or any loss resulting from the use of the platform.

11. Suspension and Termination

Keyra may suspend or terminate access to the platform at any time in case of breach of these Terms or misuse of user data.

12. Modifications

Keyra reserves the right to modify these Terms at any time.

13. Governing Law

These Terms shall be governed by the laws of Malta and subject to the jurisdiction of the Maltese courts.
